Our Terms of Service (hereinafter referred to as "Terms") outline the rules of engagement when you access or use our website, applications, and services (collectively known as the "Services"). By hopping on board and using our Services, you're agreeing to abide by these Terms. If any part of these Terms doesn't sit right with you, please hold off on using our Services.
1. Let's Dive into the Details:
i. Understanding Our Services: Dorado offers a user-friendly interface (referred to as the "App") to facilitate your interaction with decentralized open-source smart contracts for restaking digital assets, such as Ether (ETH). These smart contracts, collectively known as the "Dorado Protocol," enable you to restake your assets securely. Additionally, we may refer to or provide apps or APIs related to smart contracts that offer a data availability service built on top of Ethereum, known as the "Dorado Data Availability Protocol." It's important to note that while the App serves as a convenient interface for accessing these protocols, it's not a mandatory requirement. Other developers are free to create their own interfaces to interact with the Dorado Protocol and Dorado Data Availability Protocol.
ii. Your Wallet, Your Responsibility: Some Services may require you to link a third-party digital wallet ("Wallet"). By using these Wallets, you agree to abide by the terms and conditions set forth by the wallet provider. It's essential to understand that we do not control or manage Wallets, and we bear no responsibility for transactions conducted through them. You retain full control over your digital assets at all times, and we do not have access to your private keys or seed phrases.
iii. Keeping You in the Loop: We are committed to enhancing and refining our Services, which may involve making improvements, modifications, or updates to the software, infrastructure, security protocols, or service features (referred to as "Updates"). By continuing to use our Services, you consent to accept and utilize these Updates as directed by us. Furthermore, we reserve the right to monitor access to the Services to ensure compliance with these Terms and applicable laws.
iv. Understanding Fees and Charges: Certain Services may be subject to fees, including transaction fees or processing fees. You will be notified of any applicable fees at the time of accessing the Services. Please be aware that we are not responsible for any fees charged by third-party Wallet providers. Additionally, all transactions processed through the Services are non-refundable, and you are responsible for any associated taxes.
v. Embracing Rewards: Through your use of the Services, you may have the opportunity to earn rewards or reputation indicators ("Rewards"). These Rewards are virtual items with no monetary value and cannot be traded, sold, or transferred. Any attempt to do so will be considered null and void.
2. Who Can Join the Dorado Community:
i. Meeting Eligibility Criteria: To engage with Dorado, you must be 18 years of age or older and not categorized as a "Prohibited Person." A "Prohibited Person" includes individuals or entities listed on any U.S. Government list of prohibited parties or residing in embargoed countries. It is your responsibility to comply with all applicable laws and regulations.
ii. Creating Your Account: Some Services may require you to create an account ("Account"). You agree to provide accurate and up-to-date information for your Account and ensure the security of your password. We may request additional information or documents to verify your identity or fulfill legal requirements.
iii. Upholding Compliance: We reserve the right to suspend your access to the Services if we suspect any illegal activity, violation of these Terms, or engagement in prohibited activities. Your cooperation in any investigations related to your use of the Services is expected.
3. Clarifying Disclaimers, Limitations of Liability, and More:
i. Understanding Disclaimers: Your utilization of the Services entails inherent risks, and you acknowledge and accept these risks. The Services are provided on an "AS IS" and "AS AVAILABLE" basis, and we make no warranties or representations regarding their completeness, accuracy, availability, timeliness, security, or reliability. Any advice or information obtained from us does not create any warranty or representation beyond what is expressly stated herein.
ii. Limiting Liability: To the extent permitted by law, we shall not be liable for any damages, whether direct, indirect, special, exemplary, incidental, or consequential. Our total liability to you for any damages shall not exceed one hundred dollars ($100.00). Some jurisdictions do not allow the exclusion or limitation of incidental or consequential damages, so the above limitation may not apply to you.
iii. Assumption of Risks: By using the Services, you acknowledge and agree to the risks associated with purchasing and holding cryptocurrency, utilizing blockchain technology, and staking cryptocurrency. These risks include but are not limited to loss of access to cryptocurrency, hacking, regulatory intervention, taxation, volatility, and slashing. We expressly disclaim any liability for losses incurred as a result of these risks.
iv. Indemnification: You agree to indemnify and hold us harmless from any claims, costs, damages, losses, liabilities, and expenses arising out of or in connection with your use of the Services, your violation of these Terms, or your misuse of the Services. We reserve the right to control the defense or settlement of any such claims.
4. Resolving Disputes:
i. Pursuing Informal Resolution: Before initiating arbitration proceedings, we encourage you to attempt to resolve any disputes with us informally. Both parties are expected to engage in good-faith efforts to resolve the dispute before resorting to formal methods of resolution.
ii. Arbitration Agreement and Class Action Waiver: Any remaining dispute between you and Dorado shall be resolved through arbitration administered by JAMS under its Comprehensive Arbitration Rules and Procedures. The arbitration will be conducted on an individual basis, and you waive the right to participate in a class action or class arbitration.
iii. Exceptions: Disputes within the jurisdiction of a small claims court, disputes seeking injunctive relief, and intellectual property disputes may be resolved in court.
iv. Arbitration Costs: Payment of all filing, administration, and arbitrator costs and expenses will be governed by the JAMS Rules. We will cover the necessary costs and expenses to ensure that arbitration is not prohibitively more expensive than a court proceeding.
v. Opting Out: You have the right to opt out of the arbitration provisions within 30 days of agreeing to these Terms. If you choose to opt out, we will not be bound by
